1. Eligibility and authority
You must be legally able to enter an agreement and be authorized by the organization whose workspace you create or access. You are responsible for accurate registration information and for keeping account credentials secure.
2. The service
AssetCloud provides hosted IT asset, assignment, maintenance, inventory, license, reporting, notification, support, and related commercial-management capabilities. Features, limits, and support levels are determined by the selected plan, order form, or written agreement.
3. Trial and paid plans
Trials are provided for evaluation for the period shown at signup and may have limits. Continued use after a trial requires an active paid plan unless we agree otherwise. Fees, billing currency, taxes, renewal dates, and payment methods are displayed during purchase or stated in an order form. Except where law or a written agreement requires otherwise, fees for a completed billing period are non-refundable.
4. Organization administrators
Workspace administrators control memberships, roles, settings, and organization data. The organization is responsible for its users' actions, appropriate permissions, lawful data entry, and promptly removing access when it is no longer needed.
5. Acceptable use
You must not misuse AssetCloud; attempt unauthorized access; interfere with availability; bypass security or plan limits; upload malicious code; use the service unlawfully; infringe another person's rights; probe tenant boundaries; or reverse engineer the service except where applicable law expressly permits it.
6. Customer data
The organization retains its rights in information it submits to AssetCloud. It grants Naxas the limited rights needed to host, process, transmit, back up, and display that information to provide and secure the service. The organization is responsible for the accuracy, legality, notices, permissions, and retention of its data.
7. Security and account responsibility
We maintain safeguards designed for a multi-tenant business service. You must use reasonable security practices, protect credentials, configure roles carefully, and notify support@naxasasset.cloud promptly of suspected compromise. You may not rely on AssetCloud as the only copy of information that must be retained by law or policy.
8. Intellectual property
Naxas and its licensors retain all rights in AssetCloud, its software, designs, documentation, and branding. These terms give you a limited, non-exclusive, non-transferable right to use the service during the applicable subscription. Feedback may be used to improve the service without restriction or payment.
9. Third-party services
AssetCloud may interoperate with identity, payment, billing, email, storage, analytics, or other third-party services. Their terms and availability apply to their services. We are not responsible for third-party systems outside our reasonable control.
10. Availability and changes
We work to keep AssetCloud available and reliable but do not promise uninterrupted operation unless a written service-level agreement says otherwise. We may maintain, improve, replace, or discontinue features. We will provide reasonable notice when a material change negatively affects active paid use.
11. Suspension and termination
We may suspend access for non-payment, material breach, security risk, unlawful activity, or harm to the service or others. Either party may terminate as allowed by the selected plan or written agreement. After termination, access ends and data may be deleted following the retention process described in the Privacy Policy, subject to legal obligations.
12. Disclaimers
To the maximum extent permitted by law, AssetCloud is provided "as is" and "as available." We disclaim implied warranties including merchantability, fitness for a particular purpose, and non-infringement. AssetCloud supports operational decisions but does not replace an organization's legal, accounting, security, or compliance judgment.
13. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, goodwill, or data. Naxas's aggregate liability relating to the service will not exceed the fees paid for AssetCloud during the twelve months before the event giving rise to the claim. This section does not limit liability that cannot legally be limited.
14. Indemnity
The organization will defend and indemnify Naxas from third-party claims resulting from its customer data, unlawful use, violation of these terms, or infringement caused by materials it supplies, except to the extent the claim was caused by Naxas.
15. Governing agreement
An executed order form, data-processing agreement, or other written agreement may add to or replace parts of these terms. If documents conflict, the more specific executed agreement controls. Applicable law and dispute venue will be those stated in that agreement or, if none, those applicable to the Naxas contracting entity.
16. Changes and contact
We may update these terms and will publish the revised date. Material changes will apply prospectively with reasonable notice. Questions may be sent to support@naxasasset.cloud.
